Mariana Minerals, a software-focused mining startup led by CEO Turner Caldwell, aims to remake mining for a metals-driven economy by targeting lithium, copper, aluminum and other critical minerals needed for electrification. The company is now valued at $1.5 billion and says its software backbone will generalize across many metals to reduce input costs and address supply-chain risks dominated by China.

The deal includes a $150 million SPAC component and a $200 million PIPE, expects to close in Q2, and the combined company will trade on Nasdaq as NAUT.
